BOARD OF DIRECTORS
Discussion
The board of directors of a nonprofit organization is ultimately responsible for
the organization. Each director has a legal duty and responsibility to assure
that the organization is run well and in compliance with all federal, state and
local requirements. Prior to service on a nonprofit board, each new member of
the board should become aware of these duties and responsibilities as well as
their potential personal liability. Best practices suggest that boards
continually review and assess their level of knowledge and undergo regular
governance training.
